1. Seller Agreement Overview
This Seller Agreement ("Agreement") governs your activity as a seller on Looosh. By creating a listing, selling items, or using seller tools on Looosh, you agree to this Agreement in addition to the Terms of Service, Privacy Policy, and Prohibited Items Policy.
This Agreement supplements — and does not replace — the Terms of Service. Where this Agreement adds specific seller obligations, those obligations apply to your seller activity on Looosh.
2. Seller Eligibility and Account Responsibility
To sell on Looosh, you must be legally able to enter into contracts and to sell items in your jurisdiction. Use of seller tools by individuals under 18 is not permitted.
You must keep your account, profile, and contact information accurate and up to date. You are responsible for all activity that occurs under your seller account, including listings created, orders fulfilled, and communications sent.
Before receiving payouts (and in some cases before selling), you may be required to complete payment account onboarding with a third-party payment provider such as Stripe Connect. Looosh may limit selling or payout features for sellers without an active, properly configured payment account.
3. Right to Sell and Legal Compliance
By listing an item, you represent and warrant that:
• You own the item, or otherwise have the legal right to sell it; • The item is free of liens, encumbrances, or claims that would prevent its sale; • Sale and shipment of the item complies with applicable laws and regulations, including consumer protection, product safety, intellectual property, import/export, and shipping restrictions in both your jurisdiction and the buyer's jurisdiction.
You may not list stolen, counterfeit, illegal, unsafe, recalled, hazardous, or otherwise prohibited items. You may not list items requiring licenses you do not hold (for example, items subject to alcohol, tobacco, firearm, or controlled-substance licensing).
You are responsible for understanding the laws that apply to your sales. Looosh is not your legal counsel and does not provide legal advice on what you may sell.
4. Listing Accuracy
You are responsible for providing accurate listing information, including but not limited to: title, description, category, photos, condition, materials, dimensions, brand, defects, included accessories, and shipping details.
Photos must depict the actual item being sold. Stock photos, generic catalog images, or photos of similar-but-different items are not acceptable except in limited circumstances permitted by platform policy.
You may not misrepresent an item's condition, authenticity, value, origin, age, completeness, or availability. You may not use deceptive titles, hidden text, keyword stuffing, or other tactics designed to mislead buyers or search.
Listings found to be inaccurate, misleading, or non-compliant may be edited, removed, or restricted by Looosh, and repeated inaccuracies may affect your seller standing.
5. Authenticity and High-Value Items
When you represent an item as authentic, of a specific brand, by a specific maker, or of a specific origin, you bear responsibility for that representation. You may not list counterfeit, replica, or knock-off items, or items with removed or altered brand markings.
Higher-value items or items flagged by Looosh's review systems may require additional evidence, photos, documentation, or — where Looosh arranges it — third-party authentication or appraisal before, during, or after the sale.
If an item passes authentication or appraisal, the sale may become final under Looosh's Buyer Protection Policy, subject to specific exceptions for non-receipt, wrong item, or damage in shipping (see Terms of Service Section 9).
If an item fails authentication or appraisal, the buyer may be refunded and the item may be returned to you in accordance with applicable Looosh policies at the time. Sellers may bear the cost of return shipping and any associated review fees where policy provides.
6. Prohibited Items and Content
You may not list, sell, or promote items prohibited under Looosh's Prohibited Items Policy. Prohibited items include, but are not limited to:
• Illegal items in your jurisdiction or the buyer's jurisdiction; • Counterfeit, replica, or unauthorized brand-marked goods; • Stolen property; • Recalled or unsafe products; • Adult sexual content and nude imagery; • Drugs, controlled substances, drug paraphernalia, and regulated substances; • Weapons, ammunition, and hazardous materials where prohibited; • Hate symbols, extremist content, and content that promotes violence against people or groups; • Personal data, credentials, or items facilitating fraud or identity theft; • Items requiring licenses the seller does not hold.
Looosh may remove listings, reject images, restrict accounts, or take other action in response to prohibited items or content. For full details, see the Prohibited Items Policy.
7. Image Uploads and Listing Content
You may upload photos, descriptions, shop branding, and related content to your listings and seller profile. All content must comply with Looosh's content rules and the Prohibited Items Policy.
Looosh may impose limits on image count, file size, dimensions, or file type. Looosh may compress, resize, or process images to operate the marketplace, and may use automated and human review to moderate images.
Looosh may remove or reject images that violate policy, are misleading, are of poor quality, or do not depict the listed item. Repeated image-policy violations may affect your seller standing.
By submitting content to Looosh, you grant Looosh a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute that content for the purpose of operating, promoting, and improving the Looosh marketplace.
8. Fees and No Commission on Shipping
Looosh may charge marketplace seller fees on completed transactions. Marketplace commission is calculated on the item subtotal only. Looosh does not charge marketplace commission on shipping amounts charged to buyers.
Payment processing fees may be charged by the third-party payment provider (such as Stripe) and are separate from Looosh's marketplace fee. Sellers may also be responsible for chargeback fees, refund processing fees, or other third-party costs imposed by the payment provider.
Exact fee rates are displayed in your seller dashboard, at checkout, or in the seller fee schedule. Fees and promotional fee reductions are subject to change; material changes will be communicated to sellers in advance where reasonably possible.
Looosh is not a bank or money transmitter. Looosh may offer fee promotions or commission waivers from time to time at its discretion; these are not entitlements and may be modified or withdrawn.
9. Payouts and Stripe Connect
Seller payouts are processed through third-party payment providers such as Stripe Connect. You may be required to complete onboarding with the payment provider and to maintain an active, fully verified payout account to receive funds.
Payouts may be delayed, held, or reversed during applicable buyer protection windows, claims, refunds, chargebacks, fraud review, account review, sanctions screening, or other legal-compliance review. Payouts will generally not be released while an eligible buyer protection claim or dispute is active on the related order.
Looosh may prevent listing, selling, or payout release if a seller's payment account is incomplete, disabled, restricted, or fails verification by the payment provider. You are responsible for the accuracy of your payment account information and for promptly resolving any issues raised by the payment provider.
Looosh is not a party to the underlying payment provider relationship and is not responsible for the payment provider's terms, fees, holds, or decisions. You agree that the payment provider's terms apply to your use of its services.
10. Shipping Obligations
You are generally expected to ship sold items within 3 business days after the order is in a ready-to-ship state, unless a different timeline is disclosed in the listing (for example, handmade items may have a longer stated production lead time).
You must provide accurate carrier and tracking information through the in-app order workflow when required. Looosh may offer integrated shipping label purchasing through third-party carriers as a convenience feature. Use of any Looosh-provided label service is optional; sellers may arrange their own shipping through any carrier.
You are responsible for packaging items safely and appropriately for their condition, value, and fragility. Damage caused by inadequate packaging may be treated as seller-caused under buyer protection claims.
Late shipments, missing tracking, or tracking that does not show progress may affect your seller standing, may trigger platform review, and may make you ineligible for certain seller protections.
11. Seller Cancellations
You may cancel orders only for valid reasons available in the seller cancellation workflow (for example: out of stock, item damaged before shipping, buyer-requested cancellation, address problem, or other supported reason).
Seller-fault cancellations (such as cancelling because an item is out of stock that should have been delisted) may affect your seller standing. Buyer-requested cancellations that are verified through the in-app buyer cancellation request workflow generally should not count as seller fault.
Repeated cancellations, unusual cancellation patterns, or cancellations that appear to circumvent platform policies may be reviewed by Looosh. Looosh aims to apply cancellation review fairly and to support sellers acting in good faith.
Cancelling an order after payment has been authorized will generally release the buyer's authorization. Please use Looosh's in-app cancellation workflows — do not attempt to resolve cancellations off-platform.
12. Buyer Cancellation Requests
Buyers may request cancellation of an order before shipment through the in-app buyer cancellation request workflow. When a buyer submits a cancellation request on one of your orders, the request will be surfaced to you so you can review and act on it.
Buyer cancellation requests may expire if not acted on within the applicable period. After expiry, the buyer's request may close automatically; the order remains active and your normal shipping obligations continue to apply.
Before shipping, you should review any open buyer cancellation request on the order. If you ship an order after a buyer has submitted a cancellation request, Looosh's claims and review processes may still apply.
13. Buyer Protection, Claims, and Returns Cooperation
Buyers may file claims under Looosh's Buyer Protection Policy for issues including: item not shipped or not received; item not as described; wrong item shipped; item damaged in shipping; or authenticity concerns where applicable.
You agree to cooperate in good faith with claim review. Looosh may request evidence from you, including photos taken before shipping, packaging photos, proof of shipment, tracking information, communications with the buyer, or documentation supporting authenticity.
Resolution outcomes may include: full refund to buyer; partial refund; return and refund; release of payment to you; denial of the claim; or other outcomes provided under policy. Looosh determines claim outcomes based on the evidence and applicable policy.
Return and refund obligations: If a buyer-protection claim is resolved with a return and refund, you are responsible for providing a valid prepaid return shipping label to the buyer within 48 hours of the decision. If you do not provide a valid label within 48 hours, the buyer may be refunded and may keep the item — no return will be required. Once the returned item is delivered to you, you have 48 hours to confirm receipt and item condition or report a problem with the returned item. If you do not respond within 48 hours of return delivery, the buyer's refund may be processed automatically. Refunds under the return and refund path are not issued at the time of admin approval — they are issued only after you confirm the return, after admin resolves a dispute in the buyer's favor, or after a required deadline passes without a response from you.
Once the applicable buyer protection window closes without an eligible active claim, the sale generally becomes final and your payout may proceed under the applicable payout policy.
You may not retaliate against buyers for filing claims (for example, by submitting retaliatory reports or reviews). Buyer claim abuse, where it occurs, is reviewed by Looosh through separate processes.
14. High-Value Shipping and Seller Protection
Medium-value and high-value items may be subject to a longer buyer protection window (typically 5 days from delivery confirmation) and to additional evidence requirements before, during, and after shipping.
To be eligible for seller protection on loss-in-transit claims for high-value orders, you may be required to use shipping insurance, signature-required delivery, valid tracking, and to provide pre-ship evidence (such as photos of the item in packaging and the closed package with shipping label) through the in-app evidence workflow.
If you ship a high-value item without the required evidence, insurance, or signature confirmation, you may be ineligible for seller protection and may bear liability for loss-in-transit claims on that order.
Looosh does not guarantee reimbursement for any loss, damage, or claim. Seller protection, where it applies, is determined under platform policy and based on the evidence available.
If you use external labels, third-party carriers, or third-party tracking, you remain responsible for the accuracy of the tracking information you provide and for ensuring you have sufficient shipping protection appropriate to the item's value.
15. Vacation Settings and Availability
You may use vacation settings, where available, to temporarily pause new orders or limit your availability on Looosh. Vacation settings may pause checkout on your listings, surface a vacation message to buyers, or limit certain seller features.
You remain responsible for orders placed before your vacation began and for any obligations already incurred (for example, shipping orders that were placed before you went on vacation), unless platform policy specifically provides otherwise.
Important: Vacation mode does not pause buyer-protection claims, return-label deadlines, return-review deadlines, shipping obligations for existing orders, or buyer-protection windows. If you have an active buyer-protection claim, you may still be required to provide a return label or review a returned item within the applicable 48-hour deadline while on vacation. Missed deadlines may result in the buyer being automatically refunded and, in the case of a missed return-label deadline, the buyer may keep the item.
If you become unable to fulfill orders, please use vacation settings or contact Looosh support promptly. Unexplained unavailability with active orders may affect your seller standing.
16. Inventory, SKU, and Private Cost Tools
Looosh provides seller-only inventory tools that may include item quantity, internal SKU, inventory location, acquisition source, cost basis, profitability views, and other private operational fields.
Private cost-basis, acquisition source, profitability, and similar fields are intended for the seller's own internal use and for Looosh administrators where operationally needed. These fields are not displayed to buyers and are not part of the public listing.
Inventory tools are provided to help you operate your shop. They are informational only and do not constitute professional accounting, tax, valuation, or legal advice. You are responsible for maintaining accurate inventory records and for any decisions you make based on these tools.
Looosh may add, modify, or remove inventory features over time. Sellers should not rely on roadmap inventory features until they are released.
17. Taxes
You are responsible for understanding and fulfilling your own tax obligations arising from sales on Looosh, including income tax, sales tax, use tax, value-added tax (VAT), goods and services tax (GST), and any other applicable taxes.
Looosh may collect and remit sales tax or similar transaction taxes where required by law (for example, under marketplace facilitator laws in applicable U.S. states). Where Looosh collects and remits such taxes, it does so as required by the applicable jurisdiction and not as your tax advisor.
Looosh does not provide tax advice. You should consult a qualified tax professional regarding your specific tax obligations. You are responsible for any tax reporting, filing, payment, or recordkeeping obligations that apply to you.
18. Trust, Safety, Monitoring, and Audits
Looosh uses a combination of automated tools, AI-assisted review, human review, user reports, audit logs, and risk signals to monitor the marketplace, detect policy violations, investigate suspected fraud or abuse, and maintain marketplace integrity.
Looosh may investigate listings, transactions, communications, cancellation patterns, claims, payout activity, and other seller behavior for trust and safety purposes. Looosh's use of automated tools and AI does not guarantee that all violations will be detected, and consequential enforcement decisions involve human review where practicable.
Looosh may request additional information or documentation from you in connection with trust and safety review — for example, identity verification, authenticity documentation, proof of right-to-sell, sourcing information, or shipping evidence. Failure to provide reasonably requested information may result in listing or account restrictions.
19. Account Standing, Restrictions, and Termination
Looosh may take a range of actions in response to violations of this Agreement or other Looosh policies, including: warnings; restrictions on selling features; removal of listings; reduced visibility; withholding of payout where legally permitted and policy-supported; account suspension; or termination of seller access.
Actions may be taken in response to, among other things: fraud, prohibited items, listing inaccuracies, repeated seller-fault cancellations, late or unfulfilled shipments, upheld claims, off-platform payment solicitation, harassment, retaliation, or activity that creates legal or safety risk.
Where practicable, Looosh will provide notice and an opportunity to respond before taking consequential account action. Some violations — for example, severe safety, child safety, or fraud issues — may result in immediate action without prior warning.
If your seller account is terminated, outstanding payouts owed to you will be processed in accordance with applicable law and platform policy, subject to any holds arising from active claims, chargebacks, or legal-compliance review.
20. Relationship to Terms and Other Policies
This Seller Agreement supplements the Terms of Service, which apply to all users of Looosh. The Prohibited Items Policy and Privacy Policy are also incorporated by reference and apply to your seller activity.
Where this Seller Agreement adds specific seller obligations beyond the Terms of Service, those obligations apply to your seller activity. In the event of a conflict between this Agreement and the Terms of Service on a matter specific to seller activity, this Agreement controls. In all other matters, the Terms of Service control.
21. Beta and Controlled Launch Seller Terms
Looosh is currently operating in a controlled beta phase. During this period, seller features, policies, workflows, fee structures, promotional programs, and interfaces may be adjusted, improved, or changed based on testing, feedback, and operational findings.
Some seller features may be limited, temporarily unavailable, or modified without advance notice during beta. Looosh may pause access, restrict usage, or correct errors during the beta period.
Roadmap seller features that have not yet launched are not guaranteed. Do not rely on unreleased features for your business planning. Only seller features currently live on the platform are covered by this Agreement. This section will be removed when Looosh transitions to general availability.
22. Changes to This Agreement
Looosh may update this Seller Agreement from time to time. For material changes, Looosh will notify sellers via email or in-app notification at least 14 days before changes take effect where reasonably practicable.
Continued use of seller tools or continued selling on Looosh after an updated Seller Agreement takes effect constitutes acceptance of the changes, to the extent permitted by applicable law. If you do not agree to an updated Seller Agreement, you should stop using seller tools before the effective date.
