Terms of Service

1. Acceptance of Terms

By accessing or using Looosh — including browsing listings, creating an account, purchasing items, or listing items for sale — you agree to be bound by these Terms of Service ("Terms") and all policies incorporated by reference, including the Seller Agreement, Privacy Policy, and Prohibited Items Policy.

These Terms apply to all users: buyers, sellers, and visitors. If you do not agree to these Terms, do not use Looosh.

2. Marketplace Role

Looosh is a peer-to-peer marketplace platform for resale, vintage, handmade, unique goods, and digital downloads. Looosh provides the technology, infrastructure, and workflows that connect buyers and sellers.

Looosh is not the seller of any items listed on the platform. Each seller is independently responsible for the items they list, the accuracy of their listings, their fulfillment of orders, and compliance with applicable laws.

Looosh facilitates listings, payment processing workflows, order management, trust and safety monitoring, dispute support, and community standards. Looosh does not pre-inspect items, guarantee item authenticity (except where authentication is specifically arranged through Looosh), or guarantee every transaction.

3. Account Eligibility and Responsibility

You must be legally able to enter into contracts to use Looosh. Use of the platform by individuals under 13 is prohibited. Users under 18 must have legal authority to transact in their jurisdiction.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, complete, and up-to-date account information and to promptly notify Looosh of any unauthorized account access.

You may not use Looosh for fraudulent, abusive, deceptive, or unlawful purposes. You may not impersonate another person or entity, scrape or harvest platform data without authorization, or interfere with platform operations.

4. Buying on Looosh

Buyers are responsible for reading each listing carefully, including the item description, photos, condition notes, shipping details, and applicable policies, before completing a purchase.

By placing an order, you agree to pay the listed price plus applicable shipping, taxes, and payment processing fees. Buyers must provide accurate shipping and payment information. Orders placed using inaccurate addresses or payment details may be cancelled.

Payments are processed through third-party providers such as Stripe. Looosh does not store card numbers or sensitive payment credentials. By purchasing, you authorize the applicable payment processor to charge your payment method.

Looosh may cancel, hold, delay, or review transactions for trust and safety reasons, including suspected fraud, policy violations, payment issues, or seller account problems. Looosh will communicate with affected buyers where reasonably possible.

5. Selling on Looosh

Sellers are solely responsible for the items they list, the accuracy of their listings, fulfillment of orders, compliance with applicable laws, and interactions with buyers.

By listing an item, you represent that you have the legal right to sell it — including ownership, freedom from liens, and compliance with intellectual property, export, and consumer protection laws.

Sellers must provide accurate descriptions, authentic photos depicting the actual item, honest condition disclosures, accurate shipping information, and truthful authenticity claims where applicable.

Selling on Looosh is also governed by the Seller Agreement, which incorporates additional obligations including shipping timelines, cancellation rules, payout conditions, high-value item requirements, and prohibited item policies.

6. Fees and Payments

Looosh may charge marketplace fees on completed transactions. Marketplace commission is calculated on the item subtotal only. Looosh does not charge marketplace commission on shipping amounts charged to buyers.

Payment processing fees may be charged by the third-party payment provider (such as Stripe) and are separate from Looosh's marketplace fee. Applicable sales taxes, import duties, or other governmental charges are the responsibility of the applicable party under law.

Exact fee rates are displayed in the seller dashboard, at checkout, or in the seller fee schedule. Fees are subject to change; material changes will be communicated to sellers in advance.

Looosh is not a bank or money transmitter. Seller payouts are processed through Stripe Connect or other payment providers and are subject to those providers' terms.

7. Shipping

Sellers are generally expected to ship sold items within 3 business days after the order is in a ready-to-ship state, unless a different timeline is disclosed in the listing (for example, handmade items may have a longer stated production lead time).

Sellers must provide a valid tracking number through the in-app order workflow when shipping. Looosh tracks shipping reliability as part of its seller trust and safety monitoring.

Buyers and sellers should use the in-app order and messaging workflows for all communications related to a transaction. Looosh may offer integrated shipping label purchasing through third-party carriers as a convenience feature. Use of any Looosh-provided label service is optional; sellers may arrange their own shipping.

Looosh is not responsible for shipping delays, carrier errors, or items lost, damaged, or misdelivered by carriers. Buyer protection claims related to shipping issues are handled through the Looosh claims process described in Section 8.

8. Buyer Protection, Claims, and Returns

Looosh offers buyer protection for certain issues arising from a completed transaction. Buyers may be eligible to file a claim if:

• The item was never shipped or received; • The item received was significantly not as described in the listing; • The wrong item was shipped; • The item arrived damaged in shipping; or • The item is reasonably believed to be counterfeit or inauthentic (where authenticity is material).

Claims must be filed through the Looosh in-app claims workflow within the applicable buyer protection window. For most items, the buyer protection window is 3 days from delivery confirmation. For medium-value and high-value items (elevated review, authentication-required, or concierge-reviewed items), the buyer protection window is 5 days from delivery confirmation.

Once the applicable buyer protection window closes without an eligible, active claim, the sale becomes final. Looosh does not support general returns after this window for change of mind, fit, or preference.

Evidence may be required to support a claim, including photos of the item received, packaging, or defects. Looosh may request additional evidence or information. Resolution outcomes may include full refund, partial refund, return and refund, or release of payment to the seller, as determined by Looosh.

9. Authentication and Appraisal

For certain high-value or authentication-required items, Looosh may arrange or require third-party authentication or appraisal.

If an item is routed through authentication or appraisal and passes, the sale is treated as final upon delivery. No general return right applies to passed-authentication items.

However, even for passed-authentication items, buyers retain the right to file claims for: (a) item not received; (b) wrong item shipped; or (c) item damaged in shipping. These specific claim types remain available regardless of authentication outcome.

If an item fails authentication or appraisal, the buyer may receive a refund and the item may be returned to the seller in accordance with Looosh's applicable policies at the time.

10. Cancellations

Buyers may request cancellation of an order before the item is shipped by using the in-app cancellation request workflow. Seller action may be required to complete a buyer-requested cancellation. Buyer cancellation requests may expire if not acted on within the applicable period.

Sellers may cancel orders using structured, policy-approved reasons available in the seller order workflow. Seller cancellations are tracked for marketplace integrity. Repeated seller-fault cancellations may affect a seller's account standing.

Buyers may not cancel orders after an item has been shipped; post-shipment concerns should be handled through the Looosh buyer protection and claims process.

Looosh reserves the right to cancel orders for trust and safety, payment, or policy reasons, with communication to the affected parties where possible.

11. Prohibited Items and Conduct

Users may not list, sell, offer, or promote items that are prohibited under Looosh's Prohibited Items Policy. This includes, but is not limited to: illegal items, counterfeit or replica goods, stolen property, weapons or dangerous items where prohibited, recalled or unsafe products, adult sexual content or nude imagery, controlled substances, hate or extremist content, or items requiring licenses the seller does not hold.

Users may not engage in prohibited conduct including: fraud or deception, impersonation, harassment, off-platform payment solicitation, abuse of buyer protection claims, unauthorized scraping, or any activity that harms other users or Looosh's platform integrity.

Looosh may remove listings, restrict accounts, or take other actions in response to prohibited items or conduct. For full details, see the Prohibited Items Policy.

12. User Content and Listing Content

By submitting listing photos, descriptions, seller profile content, messages, or other content to Looosh, you grant Looosh a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute that content for the purpose of operating, promoting, and improving the Looosh marketplace.

You are solely responsible for any content you provide. You represent that your content does not infringe third-party intellectual property rights, violate applicable law, or violate these Terms.

Looosh may moderate, remove, or restrict content at its discretion, including content that violates policies or that Looosh determines is harmful to users or the marketplace.

13. Trust, Safety, Reports, and Moderation

Looosh uses a combination of automated tools, AI-assisted review, human review, user reports, and audit and operational logs to monitor the platform, detect policy violations, investigate suspected fraud or abuse, and maintain marketplace integrity.

Automated tools and AI may flag listings, transactions, or accounts for review; consequential decisions (such as account suspension) involve human review where practicable. Looosh's use of AI does not guarantee that all policy violations will be detected.

Users may report listings, sellers, or conduct that they believe violates Looosh's policies using the in-app report functionality. Looosh reviews reports and may take action at its discretion, but does not guarantee a specific response timeline or outcome for every report.

Looosh maintains audit logs of platform transactions and events for operational, safety, and legal compliance purposes.

14. Privacy

Looosh's collection and use of personal information is governed by the Privacy Policy, which is incorporated into these Terms by reference.

By using Looosh, you agree to the collection and processing of your information as described in the Privacy Policy. This includes account data, order and shipping data, listing and content data, messages and moderation data, payment account data (processed by providers such as Stripe), and operational and audit log data.

15. Beta and Controlled Launch

Looosh is currently operating in a controlled beta phase. During this period, platform features, policies, workflows, and interfaces may be adjusted, improved, or changed based on testing, feedback, and operational findings.

Some features may be limited, temporarily unavailable, or modified without advance notice during beta. Looosh may pause access, restrict usage, or correct errors during the beta period.

Participation in the Looosh beta constitutes acknowledgment that the platform is not yet at its final production state. Looosh will work to communicate material changes. This section will be removed when Looosh transitions to general availability.

16. Service Availability and Changes

Looosh may update, modify, suspend, or discontinue the platform or specific features at any time, with or without notice, though Looosh will endeavor to communicate material changes.

Features described in Looosh communications, help resources, or marketing that have not yet been released are roadmap items and are not guaranteed. Only features currently live on the platform are covered by these Terms.

Looosh is not liable for any interruption, suspension, or discontinuation of the service.

17. Disclaimers

To the extent permitted by applicable law, Looosh provides the platform "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.

Looosh does not warrant the quality, safety, legality, or authenticity of items listed by sellers, the accuracy of listings, the ability of sellers to sell or buyers to buy, or that any particular transaction will be completed. These responsibilities rest with the individual buyers and sellers.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Looosh and its officers, employees, agents, and partners shall not be liable for indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the platform, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, Looosh's total liability to you for any claim arising out of or relating to these Terms or your use of the platform shall not exceed the greater of: (a) the total fees paid by you to Looosh in the 12 months preceding the claim; or (b) one hundred U.S. dollars (USD $100).

19. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Looosh platform that cannot be resolved through good-faith negotiation shall be submitted to binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in English. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

You and Looosh each waive the right to a jury trial and the right to participate in a class action, class arbitration, or representative action.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration. Nothing in this section limits your ability to bring an individual claim in small claims court where jurisdiction exists.

20. Changes to Terms

Looosh may update these Terms from time to time. For material changes, Looosh will notify users via email or in-app notification at least 14 days before changes take effect where reasonably practicable.

Continued use of the platform after updated Terms take effect constitutes acceptance of the changes, to the extent permitted by applicable law. If you do not agree to updated Terms, you should stop using the platform before the effective date.
